COUNTY COUNSEL'S IMPARTIAL ANALYSIS OF MEASURE K
Cal i for nia law per mits school dis tricts to is sue bonds to pay for con struc tion, re pair,
replacement, and acquisition of school facilities provided 55 percent of voters who
vote on the mea sure ap prove the sale of the bonds. The Oak Grove Un ion El e men -
tary School Dis trict Board of Trust ees has placed on the bal lot the ques tion of
whether to is sue $9,500,000 in bonds for such pur poses.
Money raised by bond sales may only be used for the pur poses and pro jects stated
in the Bond Pro ject List set forth in Mea sure K, fol low ing this anal y sis. Pro ceeds could
be used to mod ern ize, ren o vate, con struct, ac quire, equip, ex pand, or otherwise
improve ed u ca tional and sup port fa cil i ties. The Bond Pro ject List in cludes a com plete
list of pro jects and al lowed ex pen di tures. As re quired by law, Mea sure K pro hib its us ing
bond proceeds for teacher or administrator salaries or other operating expenses.
The Board of Trust ees has cer ti fied that it eval u ated safety, class size, and in formation
technology needs in de vel op ing the Bond Pro ject List. In clu sion of a pro ject on the
Bond Pro ject List does not guar an tee it will be funded or com pleted. The Dis trict may

If adopted, Mea sure K in cludes “Ac count abil ity Safe guards” that re quire the Board
of Trust ees to: an nu ally con duct in de pend ent fi nan cial and per for mance au dits;
establish an Independent Citizens’ Over sight Committee; and maintain bond pro ceeds
in a sep a rate ac count in the County Trea sury. Mea sure K fur ther re quires Dis trict
Su per in ten dent to pro vide an an nual re port to the Board on the sta tus of pro jects
un der taken and the amount of bond pro ceeds re ceived and ex pended in each
year.
If ap proved, Mea sure K au tho rizes Oak Grove Un ion El e men tary School Dis trict to
is sue and sell gen eral ob li ga tion bonds in se ries, at dif fer ent times, as pro jects are
un der taken. Bonds of any se ries must ma ture within the stat u tory max i mum number
of years from date of is sue. The in ter est rate on the bonds will de pend on the market
rate at the time bonds are sold, but can not ex ceed the max i mum rate set by law.
Bonds will be re paid from prop erty taxes lev ied on real prop erty within the Dis trict
based on the value of land and im prove ments on each prop erty. Those taxes
would be in ad di tion to cur rent prop erty taxes on real prop erty within the Dis trict.
The amount of tax needed each year will de pend upon the amount needed to re pay
out stand ing prin ci pal and in ter est. The Dis trict’s Tax Rate State ment, which follows
this anal y sis, es ti mates the high est tax rate nec es sary to fund the bonds is $30 per
$100,000 of as sessed value. Those tax lev ies are pro jec tions, and could go up or
down, de pend ing on a num ber of fac tors in clud ing the tim ing and amount of bond
sales, and changes in as sessed prop erty val ues in the Dis trict.
If all bonds are sold, the to tal debt ser vice (in clud ing prin ci pal and in ter est) will be
$19,400,000. The tax will raise ap prox i mately $556,000 an nu ally.
A “yes” vote on Mea sure K will au tho rize the Dis trict to is sue the bonds and levy
taxes to pay for the in debt ed ness. A “no” vote on Mea sure K will not au tho rize
ei ther the is su ance of bonds or the as so ci ated levy of taxes.

ARGUMENT IN FAVOR OF MEASURE K
Ev ery child de serves to learn in qual ity school fa cil i ties. Your Yes Vote on Mea sure
K will pre pare gen er a tions of our lo cal stu dents for fu ture suc cess.
Oak Grove Un ion School Dis trict has served our com mu nity well for over 160
years. How ever, our schools have grown old and are over due for re pairs. Much
was done with the funds from our suc cess ful 2014 school im prove ment mea sure,
in clud ing re plac ing ag ing portables and mak ing health and safety im prove ments,
but more work is needed. Both of our schools need to be brought up to cur rent
safety and ef fi ciency stan dards. Mea sure K au tho rizes funds for needed fa cil ity re pairs
and up grades to im prove stu dent safety, in struc tion, and learn ing. No other fund ing
currently exists to upgrade these facilities.
If passed, Mea sure K will pro vide fund ing to make crit i cal fa cil ity im prove ments to
Oak Grove Elementary and Willowside Middle School including: modernizing and
renovating classrooms, restrooms, and school facilities; improving student access
to com put ers and mod ern tech nol ogy; mak ing health, safety and hand i capped
accessibility improvements; repairing or replacing deteriorating plumbing and
sewer systems; and upgrading inadequate electrical systems.
Oak Grove Un ion School Dis trict is proud to have award-win ning schools. Mea sure K
protects academic facilities so our excellent instruc tion and performance standards
can be main tained.
All funds stay lo cal. The State can not take this fund ing away. Tax payer protections
are re quired. No funds can be spent on ad min is tra tors’ sal a ries or pen sions.

FULL TEXT OF MEASURE K
BOND AUTHORIZATION
By ap proval of Mea sure ___ by at least 55 per cent of the reg is tered vot ers vot ing
on the mea sure, the Oak Grove Un ion El e men tary School Dis trict will be authorized
to is sue and sell bonds of up to $9.5 mil lion in ag gre gate prin ci pal amount at interest
rates not to ex ceed le gal lim its and to pro vide fi nanc ing for the spe cific types of
school fa cil i ties pro jects listed in the Bond Pro ject List de scribed be low, sub ject to
all the accountability requirements spec ified below.
ACCOUNTABILITY REQUIREMENTS
The pro vi sions in this sec tion are spe cif i cally in cluded in this mea sure in or der that
the vot ers and tax pay ers in the Dis trict may be as sured that their money will be
spent wisely. Ex pen di tures to ad dress spe cific fa cil i ties needs of the Dis trict will be
in com pli ance with the re quire ments of Ar ti cle XIII A, Sec tion 1(b)(3), of the State
Con sti tu tion and the Strict Ac count abil ity in Lo cal School Con struc tion Bonds Act
of 2000 (cod i fied at Ed u ca tion Code Sec tions 15264 and fol low ing.)
Eval u a tion of Needs. The School Board has iden ti fied de tailed fa cil i ties needs
of the Dis trict and has de ter mined which pro jects to fi nance from a lo cal bond.
The School Board hereby cer ti fies that it has eval u ated safety, class size reduction,
enrollment growth, and information technology needs in developing the Bond Project
List shown be low.
Independent Citizens’ Oversight Committee. Fol low ing ap proval of this measure,
the Board of Trust ees will es tab lish an In de pend ent Cit i zens’ Over sight Committee,
un der Ed u ca tion Code Sec tions 15278 and fol low ing, to en sure bond pro ceeds
are ex pended only on the types of school fa cil i ties pro jects listed be low. The
committee will be es tab lished within 60 days of the date when the re sults of the
elec tion ap pear in the min utes of the School Board.
Performance Au dits.The School Board will con duct an nual, in de pend ent performance
au dits to en sure that the bond pro ceeds have been ex pended only on the school
facilities projects listed below.
Financial Audits. The School Board will con duct an nual, in de pend ent fi nan cial
au dits of the bond pro ceeds un til all of those pro ceeds have been spent for the
school facilities projects listed below.
Government Code Accountability Requirements. As re quired by Sec tion
53410 of the Gov ern ment Code, (1) the spe cific pur pose of the bonds is set forth in
this Full Text of the Mea sure, (2) the pro ceeds from the sale of the bonds will be
used only for the pur poses spec i fied in this mea sure, and not for any other purpose,
(3) the pro ceeds of the bonds, when and if is sued, will be de pos ited into a build ing
fund to be held by the Sonoma County Trea surer, as re quired by the Cal i for nia
Ed u ca tion Code, and (4) the Su per in ten dent of the Dis trict shall cause an an nual
re port to be filed with the Board of Trust ees of the Dis trict not later than Jan u ary 1 of
each year, which re port shall con tain per ti nent in for ma tion re gard ing the amount of
funds col lected and ex pended, as well as the sta tus of the pro jects listed in this
mea sure, as re quired by Sec tions 53410 and 53411 of the Gov ern ment Code.
NO TEACHER OR ADMINISTRATOR SALARIES
Pro ceeds from the sale of bonds au tho rized by this mea sure shall be used only for the
purposes specified in Ar ti cle XIII A, Sec tion 1(b)(3), those be ing for the construction,

USE OF ESTIMATES AND PROJECTIONS
Any es ti mates or pro jec tions in the bond mea sure or bal lot ma te ri als, such as relating
to es ti mated tax rates, the du ra tion of is sued bonds and re lated tax lev ies and
col lec tions are pro vided as in for ma tional only. Such amounts are es ti mates and
are not max i mum amounts or lim i ta tions on the terms of the bonds, the tax rate or
du ra tion of the tax sup port ing re pay ment of is sued bonds. Such es ti mates de pend
on nu mer ous vari ables which are sub ject to vari a tion and change over the term of
the Dis trict’s over all fa cil i ties and bond fi nanc ing plan, in clud ing but not lim ited
to the amount of bonds is sued and out stand ing at any one time, the in ter est rates
ap pli ca ble to is sued bonds, mar ket con di tions at the time of sale of the bonds,
when bonds ma ture, tim ing of pro ject needs and changes in assessed valuations in
the Dis trict. As such, while such es ti mates and ap prox i ma tions are pro vided based
on in for ma tion cur rently avail able to the Dis trict and its current expec tations, such es -
ti mates and approximations are not limitations and are not binding upon the District.
BOND PROJECT LIST
Scope of Pro jects. Bond pro ceeds will be ex pended on the mod ern iza tion, ren -
ovation, expansion, acquisition, construction/reconstruction, rehabilitation, and/or
re place ment of school fa cil i ties of the Oak Grove Un ion El e men tary School Dis trict,
in clud ing the fur nish ing and equip ping of such school fa cil i ties and/or the acquisition
or lease of real prop erty by the Dis trict to be used for school fa cil i ties. This mea sure
au tho rizes bond pro jects to be un der taken at all Dis trict ed u ca tional and sup port
sites, in clud ing cur rent and fu ture sites.
School Facility Project List. The items pre sented on the fol low ing list are the
types of pro jects au tho rized to be fi nanced with voter-ap proved bond pro ceeds.
Spe cific ex am ples in cluded on this list are not in tended to limit the broad types of
pro jects de scribed and au tho rized by this mea sure. The types of projects authorized
are:
• Modernize and renovate classrooms, restrooms and school facilities
• Improve student access to computers and modern technology, including
the acquisition of computers, devices, modern teaching and other digital
equipment
• Make health and safety im prove ments through out the Dis trict
• Fed eral and State-man dated Amer i cans with Dis abil i ties Act (ADA) ac ces -
si bil ity up grades in clud ing site ac cess, park ing, staff and stu dent
restrooms, relocation of some existing electri cal devices, drinking foun -
tains, play ground equip ment, etc.
• Replace aging temporary portables with permanent classrooms
• Repair or replace deteriorat ing plumbing systems
• Replace existing wiring systems to meet current electri cal and accessibility
codes and in creased ca pac ity
• Re pair and up grade roofs, walls, and floors
• Im prove, ex pand and mod ern ize P.E. fields and other fa cil i ties for school
and community use, including resur facing and installing other all-weather
improvements
• Make fa cil ity im prove ments to in crease the Dis trict’s en ergy ef fi ciency,
including replacing outdated windows and upgrading and/or installing
heating, air condition ing and ventilation systems
• Up grade and/or ex pand school site park ing, util i ties and grounds
• Pay off a Dis trict loan that went to wards the mod ern iza tion of Oak Grove
and Willowside schools
• Re move all dry rot and re pair dam aged caused by dry rot
• Federal and State-mandated Occupational Safety & Health Administration
(OSHA) safety upgrades including playground equipment replacement
• Abate and re move haz ard ous ma te ri als iden ti fied prior to or dur ing con -
struc tion
• Re pair, re place and/or up grade paved sur faces, turf, land scap ing and other
grounds to elim i nate safety haz ards and im prove out side in struc tional ar eas
Each of the bond pro jects de scribed in this Bond Pro ject List in clude the costs of
fur nish ing and equip ping such fa cil i ties, and all costs which are in ci den tal but
di rectly re lated to the types of pro jects de scribed above. Ex am ples of in ci den tal
costs in clude, but are not lim ited to: costs of de sign, en gi neer ing, ar chi tect and
other professional services, facilities assess ments, inspec tions, site preparation,
utilities, landscaping, construction management and other planning and permitting,
legal, accounting and similar costs; independent annual financial and performance
audits; a cus tomary construction contingency; demolition and disposal of existing
struc tures; the costs of in terim hous ing and stor age dur ing con struc tion in clud ing
relocation and construction costs incurred relating to interim facilities; rental or con -
struc tion of stor age fa cil i ties and other space on an in terim ba sis for ma te ri als and
other equipment and furnishings displaced during construction; costs of relocating
fa cil i ties and equip ment as needed in con nec tion with the pro jects; in terim class -
rooms and facilities for students, administrators, and school functions, including
modular facilities; federal and state-mandated safety upgrades; address ing unfore -
seen conditions revealed by construc tion/modernization and other neces sary im -
prove ments re quired to com ply with ex ist ing build ing codes; ac cess re quire ments
of the Amer i cans with Dis abil i ties Act; nec es sary costs in curred by the Dis trict in
call ing and con duct ing the elec tion such as County ser vices and le gal costs; bond
issuance costs; and bond project construction oversight and administration during
the du ra tion of such pro jects, in clud ing by Dis trict per son nel, as per mit ted by law.
The scope and na ture of any of the spe cific pro jects de scribed above may be al tered
by the Dis trict as re quired by un fore seen con di tions that may arise dur ing the
course of de sign and con struc tion. In the event that a mod ern iza tion or ren o va tion
pro ject is more eco nom i cal for the Dis trict to be un der taken as new con struc tion,
this bond measure authorizes land acquisition, relocation, expansion, and con -
struc tion and/or re con struc tion, and all costs re lat ing thereto, for said rea son or, al -
ter na tively, based on other con sid er ations deemed in the best in ter est of the
Dis trict by the Board of Trust ees. In ad di tion, this mea sure au tho rizes the acquisition
of real prop erty, in clud ing nec es sary rights of ways or other real prop erty in ter ests,
re quired to ex pand Dis trict fa cil i ties, to pro vide ac cess to school or other Dis trict
facilities, or to pro vide ad di tional school or re lated fa cil i ties. In ad di tion, au tho rized
pro jects in clude re im burse ments for paid pro ject costs and pay ing and/or pre pay -
ing in terim or pre vi ously ob tained fi nanc ing for the types of pro jects in cluded on the
pro ject list, such as bond an tic i pa tion notes or lease financings re lat ing to pro jects
and/or equipment previously financed.
Ap proval of the Dis trict’s bond mea sure does not guar an tee that all of the iden ti fied
pro jects within this Bond Pro ject List will be funded be yond what can be com pleted
with lo cal funds generated by the bond mea sure. The Dis trict plans to pur sue funds from
the State of Cal i for nia, if avail able, to com plete cer tain of the iden ti fied facilities projects.

Measure K Tax Rate Statement

TAX RATE STATEMENT — MEASURE K

An election will be held in the Oak Grove Union Elementary School District (the "District") on November 6, 2018, to authorize the sale of up to $9.5 million in bonds of the District to finance school facilities as described in the measure. If such bonds are authorized and sold, principal and interest on the bonds will be payable only from the proceeds of ad valorem tax levies made upon the taxable property in the District. The following information is provided in compliance with Sections 9400-9404 of the Elections Code of the State of California. Such information is based upon the best estimates and projections presently available from official sources, upon experience within the District, and other demonstrable factors.

Based upon the foregoing and projections of the District's assessed valuation, the following information is provided:

  1. 1. The best estimate of the average annual tax rate which would be required to be levied to fund this bond issue over the entire duration of the bond debt service, based on a projection of assessed valuations available at the time of filing of this statement, is $0.03 per $100 of assessed valuation (or $30 per $100,000 of assessed value). The final fiscal year in which it is anticipated that the tax will be collected is 2052-53.
  2. 2. The best estimate of the highest tax rate which would be required to be levied to fund this bond issue, based on a projection of assessed valuations available at the time of filing of this statement, is $0.03 per $100 of assessed valuation (or $30 per $100,000 of assessed value). It is estimated that such rate would be levied starting in fiscal year 2019-20 and following.
  3. 3. The best estimate of the total debt service, including the principal and interest, that would be required to be repaid if all the bonds are issued and sold is approximately $19,400,000.

Voters should note the estimated tax rate is based on the assessed value (not market value) of taxable property on the County's official tax rolls. In addition, taxpayers eligible for a property tax exemption, such as the home owner's exemption, will be taxed at a lower effective tax rate than described above. Property owners should consult their own property tax bills and tax advisors to determine their property's assessed value and any applicable tax exemptions.

The attention of all voters is directed to the fact that the foregoing information is based upon projections and estimates only, which amounts are not maximum amounts and durations and are not binding upon the District. The actual debt service, tax rates and the years in which they will apply may vary from those used to provide the estimates set forth above, due to factors such as variations in the timing of bond sales, the par amount of bonds sold and market interest rates available at the time of each sale, actual assessed valuations over the term of the bonds, and other factors. The date and amount of bonds sold at any given time will be determined by the District based on the need for project funds and other considerations. The actual interest rates at which the bonds will be sold will depend on conditions in the bond market at the time of sale. Actual future assessed valuations will depend upon the amount and value of taxable property within the District as determined by the County Assessor in the annual assessment and the equalization process.

OAK GROVE UNION ELEMENTARY SCHOOL DISTRICT
ORDERING AN ELECTION TO AUTHORIZE THE ISSUANCE OF

WHEREAS, the Board of Trustees of the District (the "Board") has determined that it is necessary to address the foregoing concerns, among others, to ensure that its schools are upgraded, repaired, improved and equipped; and

WHEREAS, on November 7, 2000, the voters of the State of California approved Proposition 39 ("Proposition 39"), which amended Articles XIIIA of the California Constitution ("Article XIIIA") to allow for the levy of ad valorem property taxes for the payment of bonded indebtedness of a school district, community college district or county office of education approved by at least 55 percent of the voters voting on such proposition; and

WHEREAS, upon the passage of Proposition 39, the Strict Accountability in Local School Construction Bonds Act of 2000, being California Education Code Section 15264 and following (the "Act"), became operative; and

WHEREAS, in order to address the facilities needs of the District as described herein, in the judgment of the Board, it is adviSable to call an election pursuant to the Act to submit to the electors of the District the question whether bonds of the District shall be issued and sold pursuant to the authority of Article XVI Section 18 of the California Constitution and Article XIIIA (together with the Act, the "Law") for the purposes authorized by the Law and as described in Appendix A hereto (the "Full Text of Bond Measure"); and

WHEREAS, under the Act, the election maybe ordered at a primary or general election, a regularly scheduled local election at which all of the electors of the District are entitled to vote, or a statewide special election, upon a two-thirds vote of the Board; and

WHEREAS, the Board desires to call an election in the District pursuant to the Law on November 6, 2018, which is the date of the statewide general election, and pursuant to Education Code Section 15121 and Elections Code Section 10400 and following, to request consolidation with any and all other elections held in the District on 20 such date, and to request the Sonoma County Registrar of Voters (the "County Registrar") to perform election services for the District; and

WHEREAS, in connection with the calling of a bond election and in accordance with Education Code Section 15100 subparagraph (0), the Board has obtained reasonable and informed projections of assessed property "valuations that take into consideration projections of assessed property valuations made by the County assessor, if any; and

NOW, THEREFORE, THE BOARD OF TRUSTEES OF THE OAK GROVE UNION ELEMENTARY SCHOOL DISTRICT DOES HEREBY RESOLVE, DETERMINE AND ORDER AS FOLLOWS:

Section 1. Recitals. The foregoing recitals are true and correct.

Section 2. Call for Election. The Board hereby orders an election and submits to the electors of the District the question of whether general obligation bonds of the District shall be issued and sold in the maximum principal amount of $9.5 million for the purposes described in the ballot measure approved under Section 4 and attached hereto as Appendix A (Full Text of Bond Measure) and Appendix B (Abbreviated Text of Bond Measure), and paying all costs incident thereto. This Resolution constitutes the order of the District to call such election and shall constitute the "specifications of the election order" pursuant to Education Code Section 5322.

Section 3. Election Date. The date of the election shall be November 6, 2018, and such bond election shall be held solely within the boundaries of the District. The boundaries of the District have not changed since the District's last election.

Section 4. Purpose of Election; Ballot Measure. The purpose of the election shall be for the voters in the District to vote on a bond measure, a full copy of which is attached hereto as Appendix A and marked "Appendix A - Full Text of Bond Measure" (the "Full Text of the Measure"), containing the question of whether the District shall issue general obligation bonds for the purposes stated therein, together with the accountability requirements of Article XIIIA and the requirements of Section 15272 of the Act. The Full Text of the Measure, which commences with the heading "FULL TEXT OF BOND MEASURE" and includes all of the text thereafter on Appendix A, shall be printed in the voter information pamphlet provided to voters, with such measure designation as is assigned to the measure inserted where appropriate by the County elections official.

As required by Education Code Section 5322 and Elections Code Section 13247, the abbreviated form of the measure to appear on the ballot is attached hereto as Appendix B and is marked as "Appendix B - Abbreviated Form of Bond Measure." Appendix B presents two options, one marked "Option 1" and the other marked "Option 2."

The President of the Board and the Superintendent are hereby separately authorized and directed to make any changes to the text of the measure authorized herein as presented on Appendix A and Appendix B to conform to any requirements of the Law or the County Registrar, or otherwise upon the advice of its legal counsel. The preceding sentence is intended to include revisions reflecting changes in applicable law effective after the date of adoption of this Resolution. The Superintendent is authorized -2- 21 and directed to deliver revisions to the appendices hereto to the County Registrar through Changed pages submitted under written cover letter executed by the Superintendent, or otherwise as required by the County Registrar.

Section 5. Authority for Election. The authority for ordering the election is contained in Section 15264 et. seq. of the Education Code, Article XVI Section 18(b) of the California Constitution and paragraph (b) subsection (3) of Article XIIIA. The authority for the specification of this election order is contained in Section 5322 of the Education Code.

Section 6. Proceeds for School Facilities Projects. The Board certifies that the proceeds from the sale of the bonds will be used only for the purposes specified in Article XIIIA, Section 1(b)(3) as further specified in Appendix A, and not for any other purpose, including teacher and administrator salaries and other school operating expenses. Further, as required by Article XIIIA, the Board hereby certifies that it has evaluated safety, class size and information technology needs in developing the list of school facilities projects set forth in Appendix A.

Section 7. Covenants of the Board upon Approval of the Bonds by the Electorate; Accountability Measures. As required by Article XIIIA, Section 15278 of the Act, and Government Code Section 53410, in the event 55 percent of the voters voting in the District approve of the Bonds, the Board shall:

  1. (a) conduct an annual, independent performance audit to ensure that the funds have been expended only on the projects listed in Exhibit A;
  2. (b) conduct an annual, independent financial audit of the proceeds from the sale of the Bonds until all of those proceeds have been expended for the school facilities projects listed in Exhibit A;
  3. (c) establish and appoint members to an independent citizens' oversight committee in accordance with Sections 15278, 15280, and 15282 of the Act;
  4. (d) apply the Bond proceeds only to the specific purposes stated in the ballot proposition;
  5. (e) cause the creation of accounts into which bond proceeds shall be deposited; and
  6. (f) cause the preparation of an annual report pursuant to Government Code Sections 53410 and 53411.

Section 8. Statement Regarding State Matching Funds. The District anticipates that matching funds from the State of California, if available, may be required to complete some of the projects identified in Appendix A. In such case, as required pursuant to Education Code Section 15122.5, the following statement shall appear on the ballot: "Approval of this measure does not guarantee that the proposed project or projects that are the subject of bonds under this measure will be funded beyond the local revenues generated by this measure. The District's proposal for the project or projects described below may assume the receipt of matching state funds, which, if available, could be subject to appropriation by the Legislature or approval of a statewide bond measure." Said statement has been included in the Full Text of Measure presented in Appendix A.

Section 9. Delivery of this Resolution. The Clerk of the Board is hereby directed to send a copy of this Resolution to (1) County Registrar, and (2) the Sonoma County Clerk of the Board of Supervisors (the "Clerk of the Board") for purposes of consolidation pursuant to Elections Code Section 10403. The Resolution shall be received by the County Registrar and the Clerk of the Board no later than 88 days prior to the election date, unless otherwise permitted by law. The Resolution shall be accompanied by the signed Tax Rate Statement referenced in Section 10 below.

The County Registrar is hereby requested to print the full text of the ballot measure in the ballot materials as it appears on Appendix A hereto and to provide all required notices of the election and other notices related thereto.

Section 10. Consolidation of Election; Request to Provide Services. The County Registrar and the Sonoma County Board of Supervisors are hereby requested to consolidate the election ordered hereby with any and all other elections to be held on November 6, 2018 within the District.

Pursuant to Section 5303 of the Education Code and Section 10002 of the Elections Code, the Board of Supervisors of Sonoma County is requested to permit the County Registrar to render all services specified by Section 10418 of the Elections Code relating to the election, for which services the District agrees to reimburse Sonoma County in full from District general funds upon presentation of a bill from the County, such services to include the publication of a formal Notice of School Bond Election and the mailing of the sample ballot and tax rate statement (described in Section 9401 of the Elections Code).

Section 11. Approval of Tax Rate Statement. Pursuant to Elections Code Section 9401, a tax rate statement has been prepared in the form attached hereto as Appendix C, which form of Tax Rate Statement is hereby approved for inclusion in the sample ballot. The President of the Board, the Superintendent, or any written designee of the foregoing, are hereby separately authorized and directed to execute the tax rate statement, and to file said Statement with the County Registrar, in accordance with Section 9 hereof.

Section 12. Ballot Arguments. As provided in Elections Code Section 9501, any and all members of this Board are hereby authorized to act as an author of any ballot argument prepared in connection with the election, including a rebuttal argument.

Section 13. Maturity Limit of Bonds. The Bonds may be issued in series by the District from time to time, and each series of Bonds shall mature not more than the legal limit at the time of such issuance thereof. The Bonds shall be issued under the Act, under the provisions of Section 53506 et seq. of the California Government Code, or under any other provision of law authorizing the issuance of general obligation bonds by school districts.

Section 14. Estimates Included in Ballot Materials. The measure authorized by this Resolution includes information required by law to be presented to District voters regarding certain current expectations including regarding tax rates, the final maturity date of bonds and the estimated total repayment amount. Such estimates have been provided by the District in good faith based upon information currently available to the District. The approximations and estimates depend on numerous variables which are subject to variation and change over the term of the District's overall facilities and bond financing plan. As such, while such estimates and approximations have been provided in accordance with legal requirements and the District's current expectations, such estimates and approximations are not intended by the Board to be additional restrictions on the District's bond program and bond issuances, and, other than the total principal amount of bonds authorized to be issued by the bend measure, do not represent legal maximums or additional limitations on the final terms of a bond issuance.

Section 15. Engagement of Professional Services. The firm of Isom Advisors A Division of Urban Futures, Inc., as financial advisor and the firm of Jones Hall, A Professional Law Corporation, as bond counsel and disclosure counsel, have previously been engaged by the District in connection with general obligation bond proceedings and issuances and such engagement are reaffirmed pursuant to existing agreements.

Section 16. Official Actions. The President of the Board and the Superintendent are hereby separately authorized and directed to execute and deliver to County officials any directions, requisitions or other writings, and to make any changes to the texts of the measure as described herein and in the tax rate statement, to conform to any legal requirements or the County Registrar, in order to cause the election to be held and conducted in the District.

Section 17. Effective Date. This resolution shall take effect on and after its adoption.
