A RESOLUTION OF THE BOARD OF EDUCATION OF THE IRVINE UNIFIED SCHOOL DISTRICT ORDERING FORMATION OF SCHOOL FACILITIES IMPROVEMENT DISTRICT NO. 1 OF THE IRVINE UNIFIED SCHOOL DISTRICT

WHEREAS, on January 26, 2016, the Board of Education (the "Board") of the Irvine Unified School District (the "School District"), located within the County of Orange ("Orange County"), adopted a Resolution entitled "A Resolution of the Board of Education of the Irvine Unified School District of Intention to Form a School Facilities Improvement District" (the "Resolution of Intention"), stating its intention to form a school facilities improvement district (the "School Facilities Improvement District") proposed to be named "School Facilities Improvement District No. 1 of the Irvine Unified School District (the "School Facilities Improvement District") pursuant to Chapter 2 (the "SFID Chapter") of Part 10 of Division 1 of Title 1 of the California Education Code (the "Education Code") and setting March 1, 2016 as the date for a public hearing to be held on the formation of the School Facilities Improvement District;

WHEREAS, in accordance with the SFID Chapter and the Resolution of Intention, notice of such public hearing was published, pursuant to Section 6066 of the California Government Code, in the Irvine World News on February 4, 2016 and February 11, 2016;

WHEREAS, on this date, the Board conducted and closed said public hearing; and

WHEREAS, at the hearing, the testimony of all interested persons, including any persons owning lands within the School District, or in the proposed School Facilities Improvement District, on the formation of the School Facilities Improvement District was heard;

NOW, THEREFORE, BE IT RESOLVED by the Board of Education of the Irvine Unified School District as follows:

Section 1. All of the above recitals are true and correct.

Section 2. The Board hereby orders the School Facilities Improvement District formed for the purposes and with the boundaries described in the Resolution of Intention.

Section 3. The School Facilities Improvement District is hereby designated "School Facilities Improvement District No. 1 of the Irvine Unified School District."

Section 4. The estimated cost of carrying out the purpose described in the Resolution of Intention, namely, financing the school facilities improvement project consisting of the construction, reconstruction, improvement, rehabilitation, or replacement of school facilities, including the furnishing and equipping of such school facilities, and the acquisition or lease of real property for such school facilities, for the benefit of the area of land included within the School Facilities Improvement District, is $376,000,000, including costs incidental to the

creation of the School Facilities Improvement District, the conduct of a bond election and the issuance of the bonds.

Section 5. A map (the "Boundary Map") showing the exterior boundaries of the School Facilities Improvement District, and specifically identifying property located within the School District that is not located within the School Facilities Improvement District, is on file with the Board. The Clerk of the Board is hereby directed, if the bond measure for the School Facilities Improvement District passes, to file, or caused to be filed, with the County Auditor, the County Assessor, the County Superintendent of Schools, the State Board of Equalization and the State Superintendent of Public Instruction, no later than December 1, 2016, a certified copy of this Resolution, the Boundary Map and the statement required pursuant to Section 54902 of the California Government Code.

Section 6. The officers, employees and agents of the School District are hereby authorized and directed to take all actions and do all things which they, or any of them, may deem necessary or desirable to accomplish the purposes of this Resolution and not inconsistent with the provisions hereof.

Section 7. This Resolution shall take effect immediately upon its adoption.
